Quite a simple tast to answer: phpBB 3-tables need to be UTF8 - phpBB 2 used latin1 instead.

Well, if you look at any other software there is normaly a new version even more often. Of course they can change the system and name ist phpBB 2.0.0 SP 4a or release a security fix each month without even changing the version number - but I don't see a big advantage of this...
